Terms.
The terms governing use of this website. Engagements with IXSOR are governed by a separate engagement letter, not by these terms.
About this site.
ixsor.com is operated by Ixsor LLC, a North Carolina limited liability company. The site is provided for general informational purposes and does not, by itself, create any contractual relationship between you and IXSOR. By using the site you agree to these terms.
Engagements are governed by a separate letter.
Any engagement between IXSOR and a client is governed exclusively by a written engagement letter signed by both parties. Information on this site does not constitute an offer to enter into an engagement, an acceptance of any offer, or a binding price quotation.
Statements about typical durations, fees, scope, or deliverables on this site are illustrative. Specific terms of any engagement appear only in the signed engagement letter for that engagement.
We are not a law firm.
IXSOR is a technology and process consultancy. We are not a law firm. We do not provide legal advice. Nothing on this site, in any communication with us, or in any deliverable we produce constitutes legal advice. You should consult a licensed attorney in your jurisdiction for any legal question.
Use of this site does not establish an attorney-client relationship. Communication with IXSOR — whether through the contact form, email, or any consultation — does not create an attorney-client relationship.
Information on this site referencing the ABA Model Rules, ABA Formal Opinions, state bar rules, or other legal frameworks is provided for general orientation only and is not a substitute for review by your own counsel.
Intellectual property.
The content of this site (text, design, layout, code, images) is the property of Ixsor LLC, except where otherwise noted. You may share links to public pages and quote brief excerpts with attribution. You may not reproduce the site's content in bulk without prior written permission.
Deliverables produced during a paid engagement are governed by the engagement letter; typically they become the client's property to use, modify, retain, or hand to another firm without further license fees.
No warranty.
The site is provided "as is" and "as available", without warranty of any kind, express or implied. To the maximum extent permitted by law, IXSOR disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.
Limitation of liability.
To the maximum extent permitted by law, Ixsor LLC and its members, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of this site.
Total liability for any claim arising from or related to this site (excluding paid engagements, which are governed by their respective engagement letters) shall not exceed one hundred US dollars (US$100).
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
External links.
The site may link to external resources — published opinions, ABA materials, vendor sites, news articles. We do not control and are not responsible for the content, privacy practices, accuracy, or availability of those resources. A link is not an endorsement.
Indemnification.
You agree to defend, indemnify, and hold harmless Ixsor LLC and its members, employees, contractors, and agents from any claim, demand, damages, or expense (including reasonable attorneys' fees) arising out of (i) your use of the site, (ii) your breach of these terms, or (iii) your violation of any applicable law or third-party right.
Governing law and venue.
These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws provisions. Any dispute arising from or related to these terms or the site shall be resolved exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to the jurisdiction and venue of those courts.
Updates to these terms.
We may update these terms from time to time. The effective date at the top of this page will reflect the most recent version. Continued use of the site after changes are posted constitutes acceptance of the updated terms.
